Paul at one time had become bankrupt. His attempts to strike it big in high roller casinos had put him in the hole for thousands of dollars which not even LWO's success could pay off.
Paul mey up with Vince McMahon, Vince explained that he wanted to expand his WWF air waves into Latin America with Spanish announcing and such. After making out a figure LWO's territory was sold to Vince McMahon, and so LWO closed. In 1991 it was declared that monopolistic behavior of the "Territorial Agreement of 1982" was a distruption to the Canadian/American agreement of NAFTA which ensured free trade and a free market. Paul simply did not have the heart to re-open.
